Terms & Conditions
warning NOTE: DRAFT LEGAL COPY. FINAL VERSION SHOULD BE REVIEWED BY COUNSEL BEFORE PUBLICATION.
01. Service Scope
CiteScale provides a technical validation platform designed to identify, verify, and repair information citations within digital content. The service is provided as a Software-as-a-Service (SaaS) model, intended for professional editorial and technical teams.
02. Audit Outputs
All audit outputs generated by CiteScale represent a technical analysis of available public and private data sources at the time of the audit.
"Audits are snapshots in time and do not account for real-time changes to web resources after the report generation date."
03. Repair Outputs
Repair suggestions provided by the system are generated to align with the primary intent of the original text while meeting technical validation standards. The system aims for high precision but requires final verification by the Client's editorial staff.
04. Traffic & Ranking Disclaimer
CiteScale does not guarantee any specific search engine ranking, organic traffic volume, or visibility improvements. Our services are focused on technical validation and citation integrity, which are separate from third-party search engine algorithms.
05. AI Citation Estimates
Where Large Language Models (LLMs) or AI systems are utilized to predict citation paths, these are marked as "AI Estimates." These estimates are probabilistic and should be reviewed for factual accuracy before being committed to production environments.
06. CMS Access & Approval
If the Client provides CMS access for direct implementation, CiteScale acts solely as a technical agent. Proper credential management and permissions remain the Client's responsibility.
07. Draft-only Updates
Unless explicitly authorized in writing, CiteScale will only push updates as "Drafts" within the Client's CMS. Production "Live" publishing is at the sole discretion of the Client.
08. Client Review Responsibility
The final authority for all content accuracy rests with the Client. CiteScale facilitates the validation process but does not replace the requirement for human editorial oversight. Use of the "Approve All" function constitutes full acceptance of the technical outputs.
09. Payments & Fees
Subscription fees are billed in advance on a monthly or annual basis. Overages for excessive API calls or audit volume will be billed in the following cycle at the rates specified in the Service Level Agreement (SLA).
10. Confidentiality
Both parties agree to protect proprietary technical data, unpublished content drafts, and internal methodology details shared during the course of the service engagement.
11. Limitation of Liability
IN NO EVENT SHALL CITESCALE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.
12. Termination
Services may be terminated by either party with 30 days written notice. Access to data exports will be provided for a period of 15 days following termination.
13. Governing Law
These terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
